Israeli cybersecurity firm Varnion announced Thursday it has signed a binding agreement to be acquired by U.S. cybersecurity company Proofpoint for approximately $6.3 billion in cash. The merger is expected to create one of the world's largest cybersecurity companies, focusing on a comprehensive platform for AI security.

Varnion, founded in 2004, specializes in data security and artificial intelligence, with a cloud-based platform that continuously identifies and classifies critical data, reduces exposure, and detects threats using AI automation. The company employs about 2,800 people globally, with 1,000 based in Israel, where its development center is located.

Under the terms of the deal, Varnion shareholders will receive $49.75 in cash per share. This price represents a premium of 52% over the closing price on June 22, 2026, and a 17% premium over the closing price on September 1, 2026. The acquisition values Varnion at approximately 53 times its free cash flow and 8.4 times its revenue for the last twelve months ending June 2026.

The combined entity will serve over 16,000 large organizations and millions of businesses worldwide, aiming to develop an integrated platform enabling secure adoption of AI solutions. This platform will include sensitive data discovery and protection, user and AI access control, and data loss prevention. Following the deal's closure, Proofpoint will integrate the companies' technologies, marketing, and sales operations.

The transaction is anticipated to close in the first half of 2027, pending shareholder approval, regulatory clearances, and other customary closing conditions. Thoma Bravo has committed to providing equity and debt financing for the acquisition. Until the deal is finalized, Proofpoint and Varnion will operate as independent companies. Upon completion, Varnion's shares will be delisted from NASDAQ, and the company will become privately held.
