Dual-Listed Shares Explained: Why Companies Trade the Same Stock on Multiple Exchanges

מאת ליאור באקאלו

The story · English

A dual-listed share refers to the same company's stock being traded simultaneously on two or more stock exchanges. For example, an Israeli company might be listed both on the Tel Aviv Stock Exchange and on the Nasdaq in New York. This is not the same as having two separate shares; rather, it is the exact same share representing identical ownership and rights in the company, just available for trading in different markets.

A common misconception is that dual listing means two distinct shares exist, one on each exchange. In reality, the shareholder holds the same ownership and voting rights regardless of where the share was purchased. For instance, Teva Pharmaceutical Industries is a well-known Israeli company whose shares trade both in Tel Aviv and on Nasdaq. Many Israeli high-tech firms adopt this strategy to facilitate trading for both local and international investors.

Shareholders of dual-listed stocks enjoy identical rights, including dividends, voting at general meetings, and corporate actions like stock splits, irrespective of the exchange where the shares were bought. Price differences between exchanges can occur due to varying trading hours, local supply and demand, and currency fluctuations, but these differences are generally small and rarely profitable for individual investors after fees.

Companies choose dual listing to access broader international capital markets, extend trading hours, and enhance their visibility among global investors. For investors, it offers the convenience of purchasing shares on their preferred exchange, potentially reducing trading costs. However, dual listing does not inherently make a stock a better investment or reduce its risk, which depends solely on the company's financial health and performance.

In summary, dual-listed shares provide strategic advantages in market accessibility and investor convenience without altering the fundamental ownership or rights associated with the stock.
