Israeli Regulator Probes Netanel Group Over Private Event Funding by Owner Aryeh Netanel

The Israel Securities Authority (ISA) has launched an investigation into Netanel Group, a publicly traded real estate company, over the use of company funds by its controlling shareholder, Aryeh Netanel, to finance private events. In April, Netanel Group disclosed it had retrospectively approved spending 1.28 million shekels to co-fund two private events organized by Netanel. The ISA's Investigations, Intelligence, and Trading Surveillance Department requested information and documents from the company in early May and again in mid-June regarding these events, and the company is cooperating with the regulator.

The events in question included the wedding of Aryeh Netanel's son in June 2023 at the luxury Stay Kinneret hotel, featuring performances by artists Stalos and Chen, and a bar mitzvah for his grandson held in September 2024 at the Isla Brown Corinthia hotel in Greece. Netanel Group justified the expenses, which amounted to 800,000 shekels for the 2025 event and 477,000 shekels for the 2024 event, by claiming that combining company retreats with the private events provided employees with a superior experience beyond typical company events.

The company's management, led by Aryeh Netanel as chairman and his brother Danny as CEO, approved the funding without obtaining prior approval from the audit committee or board of directors. They later attributed this to an error in judgment and good faith, believing the events would benefit the company and its guests. However, the audit committee found significant internal control weaknesses that allowed this to happen and is working to address them.

Netanel ultimately reimbursed the company approximately 1.1 million shekels for its share of the event costs. The ISA has not clarified whether the investigation is administrative or criminal. Netanel Group stated that the disclosure was made now due to ongoing shelf prospectus filings for bond issuance and emphasized full cooperation with the ISA, noting confidentiality obligations related to the inquiry.
