German Shipping Giant and Israeli Fund Revise Zim Acquisition Offer

German shipping company Hapag-Lloyd and Israeli investment fund FIMI have submitted a significantly improved offer to the Israeli government for the acquisition of Zim Integrated Shipping Services. The revised proposal aims to address concerns raised by Israeli authorities, including security officials, and bolster Israel's maritime independence and supply chain resilience.

Under the updated terms, Zim Israel is to operate as a fully independent Israeli shipping company, maintaining Israeli ownership and management. Key changes include a commitment to operate a direct shipping line to Asia and the Far East, in addition to planned routes in the Atlantic and Mediterranean. The offer also enhances Israel's "golden share" powers, expanding the state's authority over changes in Zim Israel's ownership and control of its fleet, particularly during emergencies, and preventing foreign interference.

The proposal includes adjustments to personnel and professional operations, with qualified Zim employees handling cargo to and from Israel being transferred to Zim Israel. Existing ship management capabilities will also be transferred to the Israeli entity. Hapag-Lloyd and FIMI have pledged to substantially increase the number of Israeli seafarers in the coming years, alongside investments in maritime education and training.

Zim Israel will possess its own core fleet of container ships while accessing Hapag-Lloyd's global fleet through a long-term commercial agreement, enhancing capacity for refrigerated and essential cargo. The company's maritime operations will be independent, featuring a separate IT system inaccessible to third parties, including Hapag-Lloyd. The offer also details arrangements for existing Zim employees in Israel, including financial incentives and a 10-year safety net for long-term staff.

The revised offer follows extensive discussions since a merger agreement was signed in February 2026 with various Israeli government bodies, including maritime, transport, finance, defense, foreign affairs, and agriculture ministries. Hapag-Lloyd CEO Rolf Habben Jansen stated that the companies "listened carefully to the State of Israel's position and developed significant improvements to the offer," aiming to establish a strong, financially resilient Israeli shipping company for routine and emergency needs. Hapag-Lloyd has maintained a weekly service to Israeli ports since October 7, 2023, even during severe security disruptions.
