Masad Oz and America Israel Merge Real Estate Operations
Two major Israeli real estate and engineering firms, Masad Oz Group and America Israel, have signed an agreement for a full merger, combining their residential and commercial real estate development, project management, and engineering activities. The merged entity will fully own Masad Oz Engineering and Management, Masad Oz Entrepreneurship and Investments, and America Israel. Current shareholders of America Israel, including Pinchas Cohen, Shimshon Harel, Migdal Insurance and Financial Holdings, and Mercantile Discount Bank, will become shareholders in the new group. This merger aims to create synergy by combining America Israel's entrepreneurial, capital, and business development capabilities with Masad Oz's expertise in entrepreneurship, engineering, and project management. The combined group will explore broader business opportunities across all real estate sectors and related fields. The deal is supported by leading institutional bodies, including Laumi Partners, a shareholder in Masad Oz, and Migdal and Mercantile Bank, shareholders in America Israel. A key strategic goal of the merger is to prepare for a future Initial Public Offering (IPO) of the company's debt and shares, depending on business development and market conditions. Pinchas Cohen, active chairman and partner in the merged group, stated that the merger will significantly multiply experience, capabilities, and resources, fostering unity among partners and maximizing performance. Alon Stauber, CEO and partner of Masad Oz Group, added that the merger connects two companies with complementary abilities, creating a strong synergy and a quality platform for growth, expansion, and potential entry into new sectors, while also serving as a significant step towards becoming a public company.
