Blade Ranger to Merge EV Unit Anvoy Technologies with Nasdaq-Listed Firm

Blade Ranger announced it has signed a binding memorandum of understanding to merge its subsidiary, Anvoy Technologies, with CID HoldCo, a company traded on the Nasdaq under the ticker DAIC. The transaction values Anvoy at approximately $65 million. Upon completion of the merger, Blade Ranger is expected to hold about 53% of the combined entity through common and preferred shares.

Anvoy, controlled by Blade Ranger, operates in the United States in the electric vehicle sharing sector, providing services to hotels and residential buildings. The company's vehicles are currently deployed at around 34 locations across the U.S. Recently, Anvoy secured an agreement for electric vehicle sharing services in the U.S. valued at an estimated $8.1 million, which includes site identification and preparation, infrastructure setup, site connection and operation, and ongoing operational services.

Blade Ranger views this deal as part of Anvoy's continued development beyond its current operations. Shmuel Yanai, CEO and controlling shareholder of Blade Ranger, stated, "After publishing significant reports for the first half of the year, we are pleased to report the signing of a binding memorandum of understanding for another significant transaction in which Blade Ranger is expected to hold approximately 53% of the merged company, subject to the completion of the deal. Anvoy intends to leverage its vehicle locations to transform some of them into advanced autonomous taxis."

This merger follows two other transactions by Blade Ranger in the past two years. The company previously sold its DipSolar operations for Fine Perform shares, valuing the business at approximately $7 million, and its Solar Doron company for Vision Wave shares, valued at about $21 million. In its first half 2026 financial reports, Blade Ranger reported positive equity exceeding 50 million shekels, even before the potential impact of the current merger deal. The completion of the transaction remains subject to the necessary conditions for the merger.
