Independent Director Orna Zamir Resigns from Tomer Food Board

Tomer Food announced that independent director Orna Zamir is ending her tenure with the company, less than four months after her appointment. Zamir joined the board on May 19, 2026, and her resignation is effective September 1. The company stated that her departure is not due to circumstances requiring disclosure to security holders, and she will not be taking on another role within Tomer Food. Zamir also served on a board committee.

Her resignation occurs amid uncertainty surrounding the company's financial reporting. Tomer Food has already indicated that its second-quarter financial statements will be delayed due to an ongoing review of inventory accounting practices from previous years. This situation follows the earlier withdrawal of Avital Perlstein Cherni from her incoming CFO position, reportedly also linked to the inventory review.

In response to these developments, Fahn Kanne Consultants has been appointed as an independent reviewer, and Professor Haim Assaig has been named as a professional advisor to the audit committee. Tomer Food is also assessing the potential impact of the review on its past financial statements, with a particular focus on inventory accounting, a significant item that directly affects gross profit. Any corrections could necessitate the restatement of prior reports.

Until the review is complete, the company cannot finalize its second-quarter reports. The primary concern for investors remains the timeline for the completion of the review and the subsequent release of financial statements, for which no new date has been provided. Tomer Food expressed regret over Zamir's decision, citing media attention surrounding her role as a factor, and thanked her for her contributions.
