Israel Securities Authority Probes Directors Amid Company Scandals

Israel's Securities Authority has launched a broad review of company boards, focusing on the qualifications of directors designated as having "accounting and financial expertise." This move comes in response to a series of financial irregularities discovered in recently listed companies on the Tel Aviv Stock Exchange.

The investigation stems from failures by various gatekeepers, including directors, underwriters, accountants, and rating agencies, to identify financial misconduct in several companies that recently went public through IPOs or mergers. Examples include food importer Tomer, real estate group Best, and US-based companies Simad and Kohan Properties, which faced issues ranging from misappropriation of funds to improper payments and financial reporting errors.

Specifically, Tomer Food faced a crisis when its new CFO resigned before starting, citing concerns about inventory handling. Best, a real estate firm, had its controlling shareholders allegedly pay over 2 million shekels for private work. Simad and Kohan Properties, both US entities that issued bonds in Tel Aviv, saw their controlling shareholders withdraw significant sums without proper disclosure, leading to financial distress.

The Securities Authority's review aims to ensure that directors, particularly those with claimed financial expertise, are genuinely qualified and actively fulfilling their oversight duties. The authority is examining whether these directors are adequately questioning company financial data and challenging management's presentations.

This situation highlights concerns about the effectiveness of corporate governance, especially when directors may lack deep understanding of the business or are unduly influenced by controlling shareholders. The review seeks to strengthen accountability and prevent future financial scandals.
